These Terms of Service (“Terms”) govern your access to and use of the website located at schoolbrokersinc.com (the “Site”) and any related services (collectively, the “Services”) provided by School Brokers, Inc., a California corporation, California DRE License # 018594523 (“School Brokers,” “we,” “our,” or “us”).

By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, you may not use the Site or Services.

1. Eligibility

You must be at least 18 years of age and legally capable of forming a binding contract to use the Services. By using the Site, you represent and warrant that you meet these requirements.

2. Brokerage Services and Licensing Disclosure

School Brokers, Inc. is a licensed California real estate broker (DRE License # 018594523). Our advisory and brokerage services are subject to the requirements of the California Department of Real Estate and other applicable regulatory authorities. Use of the Services does not create an attorney-client, accountant-client, or fiduciary relationship except as expressly established in a signed written engagement letter or representation agreement.

3. Information on the Site

Listings, valuations, market commentary, articles, and other information provided through the Site are intended for general informational purposes only. They are not offers to sell or solicitations to buy. All listings are subject to prior sale, withdrawal, change in price or terms, and verification.

While we use reasonable efforts to keep information current and accurate, we make no representation or warranty as to the accuracy, completeness, currency, or reliability of any information on the Site, including but not limited to listing details, financial figures, enrollment data, licensed capacity, real estate descriptions, or photographs. Independent verification is essential.

4. Forms, Submissions, and Confidentiality

When you submit information through forms on the Site (such as the Free Valuation, Buyer Registration, Contact, or other submission), you agree that:

• The information you provide is accurate and complete to the best of your knowledge.
• You authorize School Brokers to use that information to evaluate your request, contact you, and provide related services.
• Submission of a form does not create any contractual obligation on the part of School Brokers to represent you, list your school, or share any specific information.
• You will execute and abide by any non-disclosure or confidentiality agreement we require before identifying information about a listed business is released to you.

Any non-disclosure or confidentiality agreement you electronically sign through the Site is legally binding. Buyers acknowledge that the Confidentiality and Non-Disclosure Agreement linked from the Buyer Registration page is incorporated by reference into these Terms once executed.

5. No Investment, Legal, Tax, or Accounting Advice

Information on the Site is not investment, legal, tax, or accounting advice. You should consult your own attorneys, accountants, and other professional advisors before making any acquisition, sale, financing, or other transactional decision.

6. Intellectual Property

The Site and all content on it — including text, graphics, logos, photographs, articles, valuations, software, and other materials — are owned by or licensed to School Brokers and are protected by U.S. and international copyright, trademark, and other intellectual property laws.

You may view and print pages of the Site for your personal, non-commercial use only. You may not reproduce, modify, distribute, publicly display, create derivative works of, or otherwise exploit any content from the Site without our prior written consent.

“School Brokers, Inc.” and the SB monogram are trademarks of School Brokers, Inc. All other trademarks are the property of their respective owners.

7. Prohibited Uses

You agree not to:

• Use the Services to violate any law, regulation, or third-party right.
• Misrepresent your identity, financial qualifications, or purpose in registering as a buyer or seller.
• Attempt to circumvent or interfere with the security features of the Site.
• Use any automated means (robots, scrapers, crawlers) to access or copy content.
• Contact any school, owner, employee, family, vendor, landlord, or licensing authority associated with a listing other than through School Brokers, without our written consent.
• Reproduce or redistribute confidential information disclosed to you in connection with the Services.
• Submit content that is defamatory, harassing, infringing, or otherwise unlawful.

8. User Submissions

Any information, documents, or materials you submit through the Site (other than information governed by a signed confidentiality agreement) are deemed non-confidential. By submitting such materials, you grant School Brokers a perpetual, worldwide, royalty-free, non-exclusive license to use, copy, store, transmit, and process them for purposes of providing the Services and operating our business.

9. Third-Party Links and Services

The Site may contain links to third-party websites or integrate third-party services. We do not control and are not responsible for the content, policies, or practices of third-party sites or services.

10. Disclaimer of Warranties

The Site and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise. School Brokers expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site or any information on it is accurate, complete, current, secure, or free from viruses or other harmful components.

11. Limitation of Liability

To the fullest extent permitted by law, School Brokers, its officers, directors, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunity, arising out of or in connection with your use of the Site or Services, whether based on contract, tort, statute, or otherwise, even if we have been advised of the possibility of such damages.

In no event will our aggregate liability arising out of or relating to these Terms or the Services exceed the greater of (a) the total amounts paid by you to School Brokers in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow exclusion of certain warranties or limitations on certain types of damages; the limitations above apply to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless School Brokers and its officers, directors, employees, agents, and affiliates from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to (a) your use of the Site or Services, (b) your breach of these Terms or any executed confidentiality agreement, (c) your violation of any law or third-party right, or (d) information you submit through the Site.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflicts of law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution

Before initiating any formal legal proceeding, you agree to first contact us in writing and attempt in good faith to resolve the dispute. If we cannot resolve the dispute within sixty (60) days, either party may proceed with formal action subject to Section 13.

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its confidential information or intellectual property without first complying with the foregoing.

15. Changes to the Terms

We may revise these Terms from time to time. The “Last updated” date at the top of this page indicates when these Terms were most recently revised. Continued use of the Site after a revision constitutes acceptance of the revised Terms.

16. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitations of liability, indemnification, and governing law — will survive.

17. Miscellaneous

These Terms (together with any signed engagement letter, confidentiality agreement, or other written agreement between you and School Brokers) constitute the entire agreement between you and School Brokers regarding the Site and Services and supersede any prior agreements on the subject. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign them to any affiliate or successor.
